These Dealer Terms govern the relationship between EasyCity Systems Ltd. ("we", "us", or "our") and solar equipment dealers ("you", "your", or "Dealer") who use Zolar (the "Platform") to sell solar equipment.
By registering as a Dealer on the Platform, you agree to these Dealer Terms and our Terms of Service. These terms are in addition to, and not in lieu of, our general Terms of Service.
Commercial Agreement
These terms constitute a commercial agreement between you and EasyCity Systems Ltd. for the sale of solar equipment through the Platform.
2. Dealer Eligibility and Registration

To register as a Dealer, you must:
- Be a legally registered business entity
- Hold valid business licenses in your jurisdiction

3. Dealer Obligations

- Maintain proper product storage and handling
- Ensure products are in saleable condition
3.2 Business Practices
You agree to:
- Conduct business ethically and professionally
- Provide accurate product information
- Honor quoted prices and availability
- Process orders promptly
- Maintain adequate inventory levels

You agree to:
- Respond to customer inquiries promptly
- Provide accurate shipping estimates
- Communicate clearly with customers
- Address customer concerns professionally
- Honor your stated return and warranty policies
4. Platform Services

The Platform provides:
- Product listing capabilities
- Category and brand management
- Inventory management tools
- Order management system
4.2 Profile Management
You can:
- Create and maintain a Dealer profile
- Display products, brands, and categories
- Showcase business information and capabilities
- Receive and respond to customer reviews
4.3 Order Management
The Platform enables:
- Online order receipt and processing
- Order tracking and updates
- Payment processing integration
- Communication with customers
5. Fees and Payments
5.1 Platform Fees
Platform fees may include:
- Registration Fee: One-time fee for Dealer registration
- Listing Fee: Fee per product listing
- Transaction Fee: Percentage of completed sale value
- Subscription Fee: Monthly or annual subscription for premium features
5.2 Fee Structure

- The Dealer pricing schedule
- Your Dealer dashboard
- Separate fee agreements (if applicable)
5.3 Payment Terms
Platform fees are:
- Billed monthly or as incurred
- Payable within 30 days of invoice
- Subject to late payment fees if overdue
- Deductible from customer payments (where applicable)
5.4 Customer Payments
Customer payments are:
- Processed through Platform payment systems
- Held in escrow until order fulfillment
- Released to you upon order completion
- Subject to Platform transaction fees
6. Product Listings
6.1 Listing Requirements
Product listings must include:
- Accurate product descriptions
- Correct specifications and technical details
- Clear and accurate pricing
- High-quality product images
- Availability status
6.2 Brand and Category Compliance
You must:
- List products in appropriate categories
- Associate products with correct brands
- Comply with brand guidelines where applicable
- Use approved product images
6.3 Inventory Management
You are responsible for:
- Keeping inventory levels accurate
- Updating availability status promptly
- Removing out-of-stock items
- Managing product variants correctly
7. Order Fulfillment
7.1 Fulfillment Obligations
You agree to:
- Ship orders within stated timeframes
- Provide accurate tracking information
- Package products securely
- Ship correct products and quantities
- Communicate shipping delays promptly
7.2 Shipping Policies
You must:
- Clearly state shipping policies in listings
- Disclose shipping costs upfront
- Honor stated shipping times
- Provide shipping options where applicable
7.3 Order Cancellations
Order cancellations may occur if:
- Product is out of stock
- Pricing error occurred
- Customer requests cancellation
- Fraudulent order detected
Excessive cancellations may result in account suspension.
8. Returns and Refunds
8.1 Return Policy
You must:
- Clearly state your return policy in listings
- Honor your stated return policy
- Process returns promptly
- Issue refunds per your policy
8.2 Return Processing
For returns:
- You will receive returned items
- You will inspect returned items
- You will issue refunds if conditions met

8.3 Platform Escalation
If return disputes arise:
- We may mediate disputes between you and customers
- We may require you to honor returns per consumer protection laws
- We may refund customers and deduct from your account if warranted
9. Insurance and Liability
9.1 Required Insurance
You must maintain:
- General Liability Insurance: Minimum coverage as specified by Platform
- Product Liability Insurance: Coverage for products sold
- Commercial Property Insurance: For inventory and business assets
- Cargo Insurance: For shipments in transit
9.2 Proof of Insurance
You must provide:
- Certificate of insurance upon registration
- Updated certificates before expiration
- Proof of coverage for specific claims if requested
9.3 Liability
You are solely responsible for:
- All products sold through your Dealer profile
- Product defects or failures
- Shipping damage or loss
- Compliance with product safety regulations
We are not liable for your products, actions, or omissions.
10. Warranties
10.1 Manufacturer Warranties
You agree to:
- Provide warranty documentation to customers
- Assist customers with warranty claims
- Follow manufacturer warranty procedures
- Honor manufacturer warranty terms
10.2 Dealer Warranties
You may offer:
- Additional dealer warranties beyond manufacturer warranties
- Extended warranty options
- Performance guarantees
10.3 Warranty Disputes
Warranty disputes are:
- Between you and the customer
- Between you and the manufacturer (for equipment warranties)
- Not our responsibility unless caused by Platform error
11. Reviews and Ratings
11.1 Customer Reviews
Customers may:
- Submit reviews of your products and services
- Rate your performance on various criteria
- Provide feedback on their experience
- Upload photos of purchased products
11.2 Review Display
We display reviews:
- On your Dealer profile
- On product listing pages
- In search results
- As part of your overall rating
11.3 Review Management
You may:
- Respond to customer reviews
- Flag inappropriate reviews for removal
- Request review resolution for disputes
We do not remove negative reviews unless they violate our review policy.
12. Suspension and Termination
12.1 Grounds for Suspension
We may suspend your Dealer account for:
- Violation of these Dealer Terms
- Complaints from customers
- Poor performance or ratings
- Expired licenses or insurance
- Fraudulent activity
- Selling counterfeit or unauthorized products
12.2 Suspension Process
If suspended:
- You will be notified of the reason
- You will have opportunity to respond
- Suspension may be temporary or permanent
- You may appeal suspension decisions
12.3 Termination
We may terminate your Dealer account for:
- Repeated violations of these terms
- Irreparable harm to Platform reputation
- Illegal activities

- Selling prohibited products
12.4 Your Right to Terminate
You may terminate your Dealer account by:

- Fulfilling all pending orders

13. Intellectual Property

- The Platform and its features are our intellectual property
- You may not copy or reproduce Platform features
- You may not use Platform data for competitive purposes
- Your Dealer account is non-transferable

You grant us:
- License to display your listings and content on the Platform
- License to use your content for marketing purposes
- Right to moderate your content per our policies
You retain ownership of your content.
13.3 Third-Party IP
You warrant that:
- You have rights to use all product images and descriptions
- Your listings do not infringe third-party intellectual property
- You comply with brand guidelines and trademark requirements
14. Compliance with Laws
14.1 Applicable Laws
You must comply with:
- All local, state, and national laws
- Consumer protection laws
- Product safety regulations
- Business licensing requirements
- Tax and labor laws
14.2 Product Compliance
You are responsible for:
- Ensuring products meet safety standards
- Complying with product certification requirements
- Providing required product documentation
- Complying with import/export regulations
14.3 Environmental Compliance
You must comply with:
- Environmental regulations for product disposal
- Hazardous materials handling requirements
- Sustainability requirements where applicable
- Battery disposal regulations
15. Indemnification
15.1 Indemnification Obligation
You agree to indemnify, defend, and hold harmless EasyCity Systems Ltd. from:
- Claims arising from your products or services
- Claims arising from your violation of these terms
- Claims arising from your violation of laws
- Product liability claims
- Customer disputes or complaints
- Intellectual property infringement claims
