1. Agreement to Terms

These Terms of Service ("Terms", "Terms of Service", or "Agreement") constitute a legally binding agreement between you ("you", "your", or "User") and EasyCity Systems Ltd. ("we", "us", "our", or the "Company") governing your use of Zolar (the "Platform"), our solar energy planning and marketplace services.

By accessing or using Zolar, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Acceptance of Terms

Your use of the Platform constitutes acceptance of these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Changes to Terms

2.1 Right to Modify

We reserve the right to modify these Terms at any time, at our sole discretion. Changes will be effective immediately upon posting to the Platform.

2.2 Notification of Changes

We will notify you of material changes by:

  • Emailing the address associated with your account
  • Posting a prominent notice on the Platform
  • Updating the "Effective Date" at the top of these Terms

2.3 Continued Use

Your continued use of the Platform after changes to these Terms constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Platform.

3. Description of Service

3.1 Zolar Platform

Zolar is a solar energy planning and marketplace platform that provides:

  • Solar Forecasting: Location-based solar generation estimates and energy outlooks
  • System Sizing: Equipment recommendations based on energy consumption patterns
  • Installer Matching: Connection to qualified solar installers in your area
  • Marketplace: Equipment purchasing from verified dealers
  • Booking Management: Installation scheduling and job tracking
  • Professional Services: Installer and dealer platform access

3.2 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may suspend or modify the service for maintenance, updates, or other operational reasons.

3.3 Third-Party Services

The Platform integrates with third-party services, including:

  • Weather data providers (e.g., Open-Meteo)
  • Payment processors
  • Communication services (email, SMS)
  • Identity verification services

4. User Accounts

4.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Suspicious or fraudulent activity
  • Extended inactivity
  • Regulatory or legal requirements

4.4 Professional Accounts

Installers and dealers must:

  • Provide accurate business information and credentials
  • Maintain valid licenses and certifications where applicable
  • Comply with professional standards and regulations
  • Accept and fulfill service obligations in good faith

5. User Responsibilities and Conduct

5.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Platform for any illegal or unauthorized purpose
  • Violate any local, state, national, or international law
  • Infringe upon the rights of others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Platform or user accounts
  • Interfere with or disrupt the Platform or servers
  • Use automated tools to access the Platform excessively
  • Impersonate any person or entity
  • Provide false or misleading information
  • Harass, abuse, or harm other users

5.2 Professional Conduct

Professional users (installers, dealers) agree to:

  • Provide accurate quotes and estimates
  • Deliver services with professional skill and care
  • Honor commitments and bookings
  • Maintain appropriate insurance and licenses
  • Resolve disputes in good faith
  • Comply with all applicable laws and regulations

5.3 Content Standards

You are responsible for all content you post on the Platform. You agree not to post content that is:

  • Illegal, harmful, threatening, abusive, or defamatory
  • Obscene, vulgar, or sexually explicit
  • Infringing upon intellectual property rights
  • False, misleading, or deceptive
  • Discriminatory or hateful

6. Intellectual Property Rights

6.1 Company Intellectual Property

The Platform and all content, features, and functionality are owned by EasyCity Systems Ltd. and are protected by copyright, trademark, and other intellectual property laws. This includes:

  • Software, code, and algorithms
  • Database structures and data
  • Text, graphics, logos, and designs
  • Solar forecasting models and calculations
  • User interface and user experience

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal or business use in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the Platform
  • Remove or alter proprietary notices
  • Use the Platform for competitive purposes
  • License or sublicense access to the Platform

6.3 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for the purpose of providing the Platform.

6.4 Third-Party Content

The Platform may contain content from third parties. Third-party content is protected by intellectual property laws and is used with permission or under license.

7. Solar Advisory and Forecasting Services

7.1 Advisory Nature

Solar forecasts, system sizing recommendations, and energy estimates provided through the Platform are for informational and planning purposes only. They do not constitute:

  • Professional engineering advice
  • Guarantees of actual performance
  • Binding installation specifications
  • Financial or investment advice

7.2 Forecast Accuracy

Solar forecasts are based on meteorological data and historical patterns. Actual solar generation may vary due to:

  • Weather variability and climate conditions
  • Local environmental factors
  • Equipment performance and degradation
  • Installation quality and maintenance

7.3 Professional Consultation

We strongly recommend consulting with qualified solar professionals before making investment decisions. The Platform should be used as a planning tool, not as a substitute for professional assessment.

7.4 Limitation of Liability

We are not liable for decisions made based on forecasts or recommendations. You assume full responsibility for any investment or installation decisions.

8. Marketplace Transactions

8.1 Equipment Purchases

The marketplace facilitates equipment purchases between users and dealers. We are not a party to these transactions. We do not:

  • Guarantee product quality or performance
  • Provide warranties for equipment
  • Accept returns or process refunds (unless specified)
  • Take title to or possession of equipment

8.2 Dealer Responsibilities

Dealers are responsible for:

  • Accurate product descriptions and pricing
  • Product quality and authenticity
  • Delivery and shipping arrangements
  • Product warranties and after-sales support
  • Compliance with consumer protection laws

8.3 Payment Processing

Payments are processed through third-party payment processors. We do not store or handle payment card information directly. Payment disputes are subject to the payment processor's policies.

8.4 Transaction Disputes

We are not responsible for resolving disputes between users and dealers. We may, at our discretion, assist in dispute resolution but are not obligated to do so.

9. Installer Services

9.1 Installer Matching

The Platform connects users with installers based on location, capabilities, and availability. We do not:

  • Guarantee installer availability or quality
  • Endorse or recommend specific installers
  • Supervise or control installation work
  • Provide installation warranties

9.2 Installer Responsibilities

Installers are independent contractors responsible for:

  • Providing accurate quotes and proposals
  • Performing installation work professionally
  • Complying with safety standards and regulations
  • Providing their own workmanship warranties
  • Maintaining appropriate insurance and licenses

9.3 Booking and Scheduling

Bookings are agreements between users and installers. We facilitate scheduling but do not guarantee completion. Cancellations and rescheduling are subject to the installer's policies.

9.4 Installation Quality

We are not responsible for installation quality, workmanship, or equipment performance. Installation disputes should be resolved directly with the installer.

10. Fees and Payments

10.1 Platform Fees

We may charge fees for certain Platform features, including:

  • Marketplace transaction fees
  • Professional subscription fees
  • Premium feature access
  • Advertising or promotional services

10.2 Payment Terms

By providing payment information, you authorize us to charge applicable fees. You agree to:

  • Pay all fees when due
  • Keep payment information current
  • Reimburse us for any refused or reversed charges

10.3 Refund Policy

Refunds for Platform fees are subject to our Refund Policy. Marketplace equipment refunds are subject to the dealer's return policy.

10.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for any taxes applicable to your transactions.

11. Privacy and Data Protection

11.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. Please review our Privacy Policy carefully.

11.2 Data Collection

We collect data to provide and improve our services. By using the Platform, you consent to such data collection in accordance with our Privacy Policy.

11.3 Data Protection

We implement appropriate security measures to protect your data. However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security.

12. Disclaimers and Warranties

12.1 AS IS and AS AVAILABLE

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We disclaim all warranties, including:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OF FORECASTS AND RECOMMENDATIONS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

12.2 No Professional Advice

The Platform does not provide professional engineering, financial, or legal advice. Consult qualified professionals for specific guidance.

12.3 Third-Party Services

We are not responsible for the quality, accuracy, or availability of third-party services. Third-party services are subject to their own terms and conditions.

12.4 Equipment and Installations

We do not warrant equipment quality, installation workmanship, or system performance. Such warranties are provided by manufacturers and installers.

13. Limitation of Liability

13.1 Cap on Liability

To the maximum extent permitted by law, our total liability to you for all claims arising from or related to these Terms or the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13.2 Excluded Damages

In no event shall we be liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, or data
  • Investment losses or equipment failures
  • Installation problems or workmanship issues
  • Personal injury or property damage

13.3 No Liability for Third-Party Actions

We are not liable for the actions, omissions, or failures of third parties, including installers, dealers, or service providers.

13.4 Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, strikes, or government actions.

14. Indemnification

14.1 User Indemnification

You agree to indemnify, defend, and hold harmless EasyCity Systems Ltd. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Your interactions with installers or dealers
  • Your installation or equipment decisions

14.2 Professional User Indemnification

Professional users agree to indemnify us for claims arising from their services, including workmanship issues, property damage, or personal injury related to their work.

15. Termination

15.1 Termination by User

You may terminate your account at any time by contacting us or using account deletion features. Termination will take effect upon confirmation.

15.2 Termination by Company

We may terminate or suspend your account immediately for:

  • Violation of these Terms
  • Fraudulent or suspicious activity
  • Non-payment of fees
  • Regulatory or legal requirements
  • Discontinuation of the Platform

15.3 Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • Your account and data may be deleted in accordance with our Privacy Policy
  • Outstanding fees remain payable
  • These Terms survive termination for applicable provisions

16. Dispute Resolution

16.1 Negotiation

In the event of a dispute, you agree to first contact us in writing to attempt good faith resolution.

16.2 Mediation

If negotiation fails, disputes may be submitted to non-binding mediation through a mutually agreed mediator.

16.3 Arbitration

Any dispute not resolved through negotiation or mediation may be resolved through binding arbitration in accordance with the rules of the Arbitration and Conciliation Act.

16.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class-wide arbitration.

16.5 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any legal proceedings shall be brought in courts of competent jurisdiction in Nigeria.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and other legal notices, constitute the entire agreement between you and us regarding the Platform.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control.

17.6 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

18. Specific Jurisdiction Provisions

18.1 Nigeria

For Nigerian users, these Terms comply with the Federal Competition and Consumer Protection Act and other applicable Nigerian laws.

18.2 European Union

For EU users, these Terms comply with the Consumer Rights Directive and other applicable EU consumer protection laws. EU users have additional rights including:

  • 14-day right of withdrawal for distance contracts
  • Information requirements before contract conclusion
  • Protection against unfair contract terms
  • Jurisdiction in their country of residence

18.3 South Africa

For South African users, these Terms align with the Consumer Protection Act 68 of 2008, providing for:

  • Consumer rights to quality and safety
  • Right to fair and honest marketing
  • Right to fair value and good quality
  • Right to accountability from suppliers

18.4 Kenya

For Kenyan users, these Terms comply with the Consumer Protection Act 2012 and other applicable Kenyan laws.

18.5 Ghana

For Ghanaian users, these Terms comply with the Consumer Protection Act and other applicable Ghanaian laws.
